How decisions get made on VNON โ who controls what, what the Collective gets to vote on, and where the lines are drawn.
๐กTL;DR
VNON Labs, LLC is the legal owner of everything material on the platform. The
VNON Curation Council is a partner collective of
$VNONโ stakers who advise the label and direct their own scoped pool โ the
Curation Treasuryโ. Two bodies, one mission, separate authorities.
The two bodies
Legal entity
A US-domiciled limited liability company. Legal counter-party for everything that touches the regulated world.
Owns / Controls
- Platform IP, trademarks, brand
- Master rights treasury (the 20% co-ownership of every bonded track)
- DSP licensing deals (Spotify / Apple / YouTube)
- Operational treasury โ USDC, ETH, LP positions (custodied via human multisig with quarterly public reporting)
- All real-world contracts, employment, vendor relationships
Partner collective
A token-weighted voice. $VNON stakers participate via Snapshotโ. Not a legal entity, not a general partnership โ a coordinated collective of fans and curators.
Influences / Directs
- Compilation track inclusion + season themes
- Featured / spotlight drops on home + Top Offering
- The Curation Treasury (a small bond-income sub-pool โ see below)
- Advisory votes on protocol parameters (fee tiers, royalty defaults)
โ The line
Council votes are
binding on the Council's own scope โ its Curation Treasury, its compilation picks, its season themes. They are
advisory to VNON Labs, LLC on everything else. The LLC is not legally obligated to execute Council preferences regarding the master rights treasury, the operational treasury, or any third-party contract. It may choose to honor Council preferences โ and usually will, because alignment is the whole point โ but the legal authority stays with the LLC. See
Advisory vs Binding votesโ for the full breakdown.
The Curation Treasury
A small percentage of every bond raiseโ routes into the Curation Treasury โ a sub-pool entirely separate from VNON Labs' operational treasury and reserves. The Council directs this pool by Snapshot vote.
Where the Curation Treasury comes from
When a track bonds, the 40% that historically went to "VNON Treasury" splits further: the bulk continues to VNON Labs operational treasury, and a small Curation Treasury slice is set aside. Exact percentage subject to final calibration; tentative target ~5% of bond income.
What the Council can spend it on
- Community marketing campaigns โ paid social, influencer partnerships, scene-specific buys
- Major artist features โ funding a one-time spotlight or partial buy-in to bring a name artist onto VNON
- Curatorial events โ season launch parties, listening rooms, IRL gatherings
- Promotional drops โ funding the marketing wrap-around for a high-conviction bonded track
- Curator bounties โ paying skilled curators to deep-dive specific scenes or submission queues
- Whatever clever ideas the collective proposes โ Snapshot proposals can come from any $VNON staker meeting the proposal threshold
What it cannot be spent on
- VNON Labs operational expenses (salaries, infra, legal, vendors)
- Master rights acquisitions outside the platform โ those route through the LLC's operational treasury and licensing structure
- Direct payouts to $VNON holders โ the Curation Treasury funds community initiatives, not dividends
How voting works
Infrastructure
Snapshot
Off-chain signed votes โ gasless, instant, battle-tested. Surfaced in-app at /govern.
Weight
Staked $VNON
Equal to your stake at the proposal's snapshot block. Higher tier curators may earn multipliers.
Threshold
Proposal floor
Any staker above the minimum threshold can submit. Quorum + passing thresholds per proposal type.
Per-track governance ($VOFF / $VIFT holders)
Separately from the Council, every bonded track has its own token-holder voice โ scoped to that track's economics. $VOFF8 holders vote on $VOFF8 decisions: marketing budget for that track, sync licensing direction, compilation eligibility. The vote can't reach the Council Treasury or the LLC's holdings.
This nests the same model recursively: artist-scoped collectives at the track level, platform-scoped Curation Council at the protocol level, LLC at the legal layer. Each tier has authority only over its own pool.
๐ก๐ฎ Mechanic hook
A Council-funded marketing push during a track's pre-bond window measurably accelerates that bond's fill rate. Curators voting yes on funding a campaign demonstrate conviction with the collective wallet, not just their own โ and that signal becomes visible alongside the track's
SABTโ progress bar. Council activity is a first-class input into the bonding economy, not a parallel system.
โ Status
This structure is in
design review with counsel as of 2026-06-27. Specifics โ Curation Treasury percentage, voting weights, tier multipliers, proposal thresholds โ may shift before public launch. Real
$VNON flows are gated on counsel sign-off. Until then, every governance interaction is a dry run with simulated weight.
